1. About these Terms
These Terms & Conditions (‘Terms’) govern your use of the Spin Back Cycles platform at spinbackcycles.lu and any associated mobile applications (together, the ‘Platform’), operated by Spin Back Cycles S.à r.l.‑S (‘Spin Back Cycles’, ‘we’, ‘us’, ‘our’).
By creating an account, posting a listing, messaging another user, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
These Terms are governed by the laws of the Grand Duchy of Luxembourg. Any disputes will be subject to the exclusive jurisdiction of the courts of Luxembourg.
2. Who can use the Platform
You must be at least 18 years old to create an account or post a listing on the Platform. By using the Platform, you confirm that you are at least 18 years old.
You must provide accurate and truthful information when creating your account and when posting listings. You are responsible for keeping your account information up to date.
You are responsible for maintaining the security of your account and password. You must notify us immediately at hello@spinbackcycles.lu if you believe your account has been compromised.
Each person may hold one account for the purposes of selling, plus one account for purchasing. Creating multiple selling or multiple purchasing accounts is not permitted.
3. The Platform and our role
Spin Back Cycles is a peer-to-peer online marketplace. We provide a platform that connects private individuals who wish to buy and sell second-hand bicycles and related accessories (‘Listings’). We are not a party to any transaction between buyers and sellers.
We do not own, inspect, or take possession of any bikes listed on the Platform. We do not guarantee the accuracy of any listing, the quality or safety of any bike, or the reliability of any user. Buyers purchase at their own risk, subject to their statutory rights under Luxembourg consumer law.
Spin Back Cycles is not a regulated marketplace within the meaning of EU Regulation 2022/2065 (Digital Services Act) that would trigger enhanced obligations. We are a small platform and our obligations are those applicable to intermediary service providers of our size.
4. Listing a bike for sale
Listings on the Platform must:
- Describe a bike or cycling accessory that you own and have the right to sell
- Be accurate, honest, and not misleading in any respect
- Include a real photograph of the actual item being sold (not a stock photo)
- State a genuine asking price in euros
- Accurately describe the condition of the item
- Not offer an item that is stolen, counterfeit, recalled, or illegal to sell
- Not be duplicated — the same item may only appear in one active listing
You must remove or mark as sold any listing where the item is no longer available. Leaving sold items as active listings misleads buyers and may result in account suspension.
We reserve the right to remove any listing that violates these Terms, without notice or liability.
5. Fees and payment
Listing a bike on the Platform is free of charge.
When a transaction is completed on the Platform, we charge a success fee to the seller of 8% of the agreed sale price (the ‘Success Fee’), subject to a minimum fee of €5 and a maximum fee of €50 per transaction.
During our launch period (‘the Promotional Period’), we are waiving the Success Fee. The Promotional Period will be communicated to sellers at the time of registration and through platform notifications. We will give at least [14 days’] notice before the Success Fee is introduced at the end of the Promotional Period.
Fees are due at the point of transaction completion and are non-refundable except where we have made an error. We reserve the right to modify our fee structure at any time, subject to giving reasonable advance notice to registered sellers.
Payment for bike transactions is made directly between buyer and seller. We do not hold funds in escrow and are not responsible for the completion, failure, or reversal of any payment between users.
6. Prohibited conduct
You must not use the Platform to:
- List, sell, or offer to sell stolen, counterfeit, or illegally obtained items
- Conduct fraudulent transactions or misrepresent yourself or your items
- Harass, abuse, threaten, or discriminate against any other user
- Post false, misleading, or defamatory content
- Scrape, copy, or harvest any content or data from the Platform by automated means
- Attempt to circumvent our fees by conducting transactions off-platform after making contact through the Platform
- Create multiple accounts or impersonate another person or entity
- Post listings for items other than bikes, cycling accessories, or related cycling goods
- Spam other users with unsolicited commercial messages
- Interfere with the technical operation of the Platform
We may suspend or permanently ban any account found to have engaged in prohibited conduct.
We may also report fraudulent or illegal activity to the relevant Luxembourg authorities.
7. Transactions between users
Spin Back Cycles facilitates contact between buyers and sellers but is not a party to any transaction. The contract for the sale of a bike is between the buyer and the seller. Buyers are responsible for inspecting any bike before purchase and satisfying themselves as to its condition, provenance, and suitability. We strongly recommend using our Safety Tips page before making any purchase.
Sellers are responsible for ensuring that their listing is accurate and that the bike matches the description given. Knowingly misrepresenting an item constitutes fraud.
We are not responsible for any loss, damage, or injury arising from a transaction between users. This includes but is not limited to defects in a bike that were not disclosed, personal injury arising from use of a bike, failure of a buyer to pay, or failure of a seller to deliver.
Private individuals selling through the Platform may not have the same obligations as professional traders under Luxembourg consumer law. Buyers should be aware that statutory warranty rights applicable to professional sellers may not apply to all private sales.
8. User content
You retain ownership of the content you post on the Platform (including listing photos, descriptions, and messages). By posting content, you grant Spin Back Cycles a non-exclusive, royalty-free, worldwide licence to use, display, and reproduce that content for the purpose of operating and promoting the Platform.
You warrant that any content you post is yours to share, does not infringe any third-party intellectual property rights, and complies with these Terms.
We may use anonymised or aggregated listing data (for example, average prices by bike category or brand) for market analysis and to improve the Platform, without identifying individual sellers or buyers.
9. Reviews and ratings
Following a completed transaction, buyers and sellers may leave reviews and ratings for each other. Reviews must be honest and based on genuine first-hand experience. You must not post false, defamatory, or retaliatory reviews.
We reserve the right to remove any review that violates these Terms. We do not edit review content and are not responsible for the opinions expressed in reviews.
10. Intellectual property
All intellectual property rights in the Platform (including the Spin Back Cycles brand, logo, website design, and technology) belong to Spin Back Cycles or our licensors. You may not use our brand, logo, or content without our prior written consent.
The Sharetribe technology underlying the Platform is licensed from Sharetribe Oy. Their terms apply to the underlying technology.
11. Limitation of liability
To the maximum extent permitted by Luxembourg law, Spin Back Cycles shall not be liable for:
- Any indirect, consequential, special, or punitive loss or damage
- Loss of profits, loss of data, or loss of business opportunity
- Any loss arising from a transaction between users
- Any loss arising from inaccurate or misleading listing content posted by another user
- Any service interruption, technical failure, or security breach beyond our reasonable control
Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.
Our total aggregate liability to you for any claim arising out of or in connection with these Terms or the Platform shall not exceed the greater of: (i) the total fees paid by you to Spin Back Cycles in the 12 months preceding the claim; or (ii) €100.
12. Changes to the Platform and Terms
We may update or modify the Platform at any time. We may also update these Terms from time to time. When we make material changes to the Terms, we will notify registered users by email and display a notice on the Platform. Continued use of the Platform after changes are published constitutes acceptance of the updated Terms.
We may suspend or discontinue the Platform, or any part of it, at any time with reasonable notice to registered users.
13. Termination
You may close your account at any time by contacting us at hello@spinbackcycles.lu. On closure, your public listings will be removed. We will retain certain data as required by law or for legitimate business purposes — see our Privacy Policy for details.
We may suspend or terminate your account if you breach these Terms, engage in fraudulent or harmful conduct, or if we are required to do so by law.
14. Governing law and disputes
These Terms are governed by the laws of the Grand Duchy of Luxembourg. Any dispute arising out of or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Luxembourg.
For complaints or disputes, please contact us first at hello@spinbackcycles.lu. We aim to resolve all complaints within 14 days. If we are unable to resolve a complaint, you may refer the matter to the Commission de surveillance du secteur financier (CSSF) mediation service or another competent Luxembourg alternative dispute resolution body.
If you are a consumer resident in another EU member state, you may also use the European Commission’s Online Dispute Resolution platform at ec.europa.eu/odr.
